Lead independent Director

In accordance with the Code of Condut recommendations, the Board appointed independent director Gilberto Callera as Lead Independent Director, entrusting him with the task of cooperating with the Chairman of the Board to ensure that directors receive timely and comprehensive information flows, with the authority to convene, on his own initiative or upon request of other directors, meetings of independent or non-executive directors to discuss topics related to the running of the Board of Directors or to the Company’s management of affairs.
